1. Agreement and scope
These Terms of Service (“Terms”) govern your access to the Tersa EDA website, accounts, web and mobile applications, engineering workspaces, simulation services, APIs, dashboards, and Tersa MCP (collectively, “Tersa”). Tersa EDA is the product and service name used in these Terms. By using Tersa, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the service.
2. Eligibility
You must be legally able to enter this agreement. You must be at least 13, or the higher age required in your country to consent to online services. If you use Tersa for an organization, you confirm that you are authorized to accept these Terms for it.
3. Accounts and authentication
Provide accurate account information, protect your credentials, and notify us promptly of suspected unauthorized access. You are responsible for activity performed through your account unless applicable law provides otherwise. Email/password and Google Sign-In are alternative authentication methods for a Tersa identity; use of Google services is also subject to Google’s applicable terms and policies.
4. Beta and evolving services
Some Tersa features are beta, early access, experimental, or research-stage. Features, limits, supported clients, file formats, analyses, quotas, and availability may change. We may suspend or discontinue a beta feature, and beta output may contain defects. Do not rely on a beta feature as the sole control for safety-critical, production, regulatory, or contractual decisions.
5. Engineering results and professional responsibility
Tersa assists with circuit design, simulation, measurement workflows, visualization, tuning, and agent-driven engineering tasks. Results depend on your inputs, models, assumptions, numerical methods, and configured limits. Tersa does not provide professional engineering, certification, safety, legal, or regulatory advice. You must independently verify designs, calculations, models, component ratings, tolerances, and results before fabrication, deployment, publication, or safety-related use.
6. Your content
You retain your rights in projects, schematics, netlists, models, prompts, and other content you submit. You grant Tersa a limited, worldwide, non-exclusive license to host, copy, transform, transmit, and process that content only as needed to provide, secure, support, and improve the user-facing service. You confirm that you have the rights needed to submit the content and that its processing does not violate law or another person’s rights.
7. Acceptable use
You must not:
- use Tersa unlawfully, deceptively, or to infringe intellectual-property, privacy, or other rights;
- attempt to bypass authentication, consent, quotas, validation, sandboxing, or resource limits;
- probe, scan, disrupt, overload, reverse engineer, or gain unauthorized access to systems or accounts, except where such restriction is prohibited by law;
- submit malware, secrets you are not authorized to use, unsafe directives, or content designed to access server files or execute arbitrary commands;
- share access tokens, refresh tokens, API credentials, or MCP grants with unauthorized parties;
- use automated access in a way that conflicts with published interfaces, limits, or instructions.
8. MCP and API access
MCP and API access is account-scoped and may require email verification, OAuth consent, named scopes, client compatibility, and usage limits. You are responsible for reviewing requested scopes and revoking connections you no longer use. Public authentication uses user-specific authorization; you may not extract or repurpose internal service credentials.
9. Tersa intellectual property
Tersa and its licensors retain all rights in the service, software, interfaces, branding, documentation, and content that we provide, excluding your content and third-party materials. These Terms grant only the limited right to use the service as offered; they do not transfer ownership or grant rights to Tersa names, logos, or source code.
10. Third-party services
Tersa may interoperate with third-party identity, analytics, infrastructure, client, model, or engineering services. Their services are governed by their own terms and privacy policies. We are not responsible for third-party services that we do not control.
11. Suspension and termination
You may stop using Tersa at any time and may request account deletion as described in the Privacy Policy. We may restrict or suspend access when reasonably necessary to protect users or systems, investigate abuse, comply with law, enforce these Terms, address non-payment if paid services are introduced, or manage a discontinued service. Where practical, we will give notice and an opportunity to resolve the issue.
12. Disclaimers
To the maximum extent permitted by law, Tersa is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. Nothing in these Terms excludes a warranty or right that cannot legally be excluded.
13. Limitation of liability
To the maximum extent permitted by law, Tersa will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, business, or opportunities arising from the service. Our aggregate liability for claims related to Tersa will not exceed the greater of the amount you paid for the service during the 12 months before the event giving rise to the claim or USD 100. These limits do not apply where prohibited by law or to liability that cannot legally be limited.
14. Changes to Tersa or these Terms
We may update the service and these Terms. We will update the effective date and provide reasonable notice when changes materially affect your rights. Continued use after the stated effective date means you accept the updated Terms, except where law requires another form of consent.
15. General terms
If a provision is unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; Tersa may transfer them as part of a reorganization, financing, or sale of the service. These Terms are governed by applicable law, including mandatory consumer protections that apply to you. Before starting a formal dispute, contact us so we can try to resolve it in good faith.
